The name of this organization shall be the Bar Bench Media Conference of Delaware (the "Conference")

The purposes of the Conference are:

(a) To serve as a forum for discussion of matters of concern to media representatives, the legal profession and the courts,

(b) To encourage understanding among media representatives, lawyers and judges.

(a) The Conference shall be comprised of twenty four members selected as follows: Six members shall be designated by the Chief Justice of the Supreme Court of Delaware to represent the interests of the bench. Six members shall be designated by the President of the Delaware State Bar Association to represent the interests of the bar. Twelve members shall be designated by news representatives to represent the interests of the media, six of whom shall be members from the print media and six of whom shall be members from the electronic media.

(b) Each member of the Conference shall be designated to serve for a term of three years, with appointments staggered so that the terms of two representatives from each constituency expire each year.

(c) Any vacancy in the membership of the Conference coming to the attention of the officers shall be immediately called to the attention of the appropriate appointing authority with a request that an appointment to fill the vacancy for the remainder of the term be made without delay.

(a) The officers of the Conference shall be a chair, a vice chair and a secretary. The officers shall serve one year terms. The vice chair shall automatically succeed the chair. The chair and vice chair shall be chosen such that the chair shall be from the bar, the print media, the bench, and the electronic media in successive years. The chair, or, in the chair's absence the vice chair, or a chair pro tem, shall preside at all meetings of the Conference.

(b) The officers shall perform such other duties as may be necessary or appropriate to further the purposes for which the Conference was organized and as custom and parliamentary usage may require. The secretary shall perform the duties usual to such an office including the keeping of minutes, and other Conference records and files, and conducting official Conference correspondence. The Supreme Court of the State of Delaware, through its Court Administrator, shall provide such administrative assistance as may be required of the Conference, including, as directed by the officers, the sending notices and the safekeeping of Conference minutes and other records.

(a) The Conference shall meet annually to elect officers and conduct any other business before the Conference. Additional meetings may be called by any of the officers or by any six members of the Conference for the conduct of any business other than the election of officers.

(b) Meetings of the Conference shall be open to the public and all records of the Conference shall be available for public inspection. Where practicable, videoconferencing shall be available to allow the widest possible attendance at meetings. Notice of the time and place of each meeting of the Conference shall be communicated by mail, telephone, telecopier, email or in person to each member of the Conference at a reasonable time in advance of the meeting. Where practicable, the purpose of the meeting shall be stated in the notice.

(c) A quorum for the transaction of business at any meeting shall consist of six members of the Conference present in person, at least three of whom shall be members from the bar or bench and at least three of whom shall be members from the media. Each member of the Conference shall have one vote.

This constitution may be amended at any meeting of the Conference; provided, however, that no such amendment shall be made without notice having been given at least thirty days in advance to each member of the Conference that such amendment would be considered, and provided, further, that no such amendment shall become effective until it has been approved by a majority of the members of the Conference from the print and electronic media combined and by the members of the Conference from the bar and bench combined.
